II - GENERAL CONDITIONS OF USE

1. Introduction
The purpose of the Website www.pinalli.co.uk (hereafter "Site" or "Website") of Pinalli Profumerie SRL (hereafter "PINALLI") is to offer an e-commerce site for online purchases by users of services and products such as perfumes, cosmetics and accessories.
Access to and use of the Website by any user (hereafter "User"), no matter what the purpose of his/her visit, are for consultation or purchase purposes only and are subject to these General Conditions of Use (hereafter also referred to as "GCU"). By accessing and using the Site, the User agrees to be legally bound by these General Conditions of Use. If the User does not intend to accept the GCU, he/she should not use the Site. PINALLI reserves the right to suspend or interrupt a User’s access to the Site at any time, without notice, in the event that PINALLI (a) has reasonable grounds to believe that the General Conditions of Use were breached or (b) deems it necessary to act in this respect for security reasons.

3. Intellectual property

3.1. Website
The User acknowledges and accepts that the Website contains confidential and proprietary information protected by intellectual property laws. All the rights of intellectual property on the Site, including but not limited to software or HTML code, bank details, newsletters, texts, graphics, photographs, pictures, design, video and/or audio material and any other material contained within the Site (hereafter "Content"), are the exclusive property of PINALLI and/or of its Licensors. All of the Content is made available to the User by PINALLI and/or by its Licensors, exclusively for personal and non-commercial use. The User may not: (a) copy, reproduce, publish, broadcast, distribute, perform, display, communicate, modify, create derivative works, carry out reverse engineering, sell, licence, or otherwise exploit the Website or any part of its Content.

3.2. Brands
The User acknowledges and accepts that PINALLI and/or its Licensors are the exclusive owners of the PINALLI trademark and logos, and any other trademark and/or logo ("Trademarks") that appear on the Website. Any use of the Trademarks by the User is strictly forbidden and constitutes an infringement of PINALLI’s intellectual property rights.
PINALLI reserves the right to act to obtain compensation for damages in the event of counterfeiting of the Trademarks and/or in every case of infringement of its intellectual property rights.

3.3. Hyperlinks
The Site may sometimes contain hyperlinks to other sites, web pages or third party content. PINALLI cannot monitor such sites, web pages and third party contents and therefore cannot be held responsible for the exactness, accuracy, security or reliability of any site, web page or third party content, nor can it be in any way responsible for the content, advertising, products, services or any other information or data present on or deriving from such third party sites or web pages. In addition, PINALLI cannot be held responsible for any damages or losses suffered by the User resulting from his/her access to, use of or trust in such sites, web pages or third party content.
PINALLI reserves the right to request the removal of any link with a Website that has not been, or is no longer authorised.

4. Account
The User may decide to register his/her information on the Website and create a personal account ("Account"). Without having an Account, the User may access or use only some of the services or options offered on the Website. To create an Account it is necessary to provide a valid email address and create a password to access the Account. Maintaining the confidentiality of the access information and the access control for his/her personal Account are exclusively and entirely the User’s responsibility. The User will be solely responsible for all activities carried out on his/her own Account (including but not limited to, any purchase of products made through his/her own Account), excepting the event in which the User promptly informs PINALLI of the unauthorised use of his/her Account by a third party. PINALLI reserves the right to suspend and close a User’s Account at any time and without notice, in the event in which PINALLI believes, in its sole discretion, that the User is using their Account in breach of these General Conditions of Use, or has reason to believe that a third party is using the Account of another user without his/her consent, or for security or Site maintenance purposes.

5. User Conduct
The User must use the Internet responsibly and with respect for the rights of other Internet users.
As such, when accessing the Site the User will abstain from:

  • uploading to the Website, publishing, sending via email or spreading by any other method, contents that are illicit, damaging, abusive, harassing, harmful, defamatory, vulgar, obscene, indecent, harmful to the privacy of others, unpleasant, offensive or objectionable from a racial, ethnic or other point of view;
  • uploading to the Website, publish, send via email or spread via any other method advertising or promotional materials that have not been requested or authorised, false information, chain emails and/or letters, or any other form of unauthorised commercial solicitation;
  • uploading to the Website, publishing, sending via email or spreading via any other method, material containing viruses or other codes, files or programmes created to destroy, damage, interrupt or limit the operation of any software and/or hardware or any electronic telecommunications networks.
  • interfering with, or interrupting the operation of the Website or of servers or networks connected to the Website, or breaching the requirements, procedures, rules and regulations of the networks connected to the Website;
  • damaging, or attempting to damage the use of the service by any User, host or network, including without limitation, by introducing a virus to the Website, voluntary overload or saturation of the server and/or email inboxes or the falsification of TCP/IP protocol information, or any other information in the headers included within emails;
  • accessing data not destined for the User or gaining access to a server/account which the User is not authorised to access;
  • attempting to verify or test the vulnerability of a system or network, or attempting to breach the security or authentication measures without having been authorised to do so;
  • assuming the identity of another person;
  • carrying out or leading another person to carry out an illegal activity, or any other activity that may breach the rights of PINALLI, its suppliers, partners, distributors, or of its advertisers and/or of any other User;
  • spreading or transferring (by any means) information or software derived from the Site to foreign countries and/or foreign citizens in breach of any national or international law or regulation.

In recognition of the global nature of the Internet, the User commits to respecting all national and international rules and procedures relating to on-line conduct and to inadmissible contents, including all laws in force relating to the transmission of technical data.
PINALLI reserves the right to prohibit a User from using the site if he/she violates one of the general principles of use.

6. Responsibility

6.1
The User acknowledges and accepts that use of the Website is at his/her own risk. PINALLI cannot be held responsible for any harm that a User may suffer following use of the site. PINALLI IS NOT LIABLE FOR INDIRECT DAMAGES, IRRESPECTIVE OF THEIR CAUSES, ORIGINS AND NATURE, DERIVING FROM THE USE AND/OR NON-USE OF THE SITE, AS WELL AS FROM HAVING GIVEN CREDIT TO ANY INFORMATION DIRECTLY OR INDIRECTLY COMING FROM THE SITE ITSELF, INCLUDING BUT NOT LIMITED TO, COSTS ARISING FROM THE IMPRUDENT PURCHASE OF GOODS OFFERED ON THE SITE, LOSS OF PROFIT, OF CLIENTELE, OF DATA OR OTHER LOSSES OF INTANGIBLE ASSETS.

6.2. Limitation of liability
PINALLI does not provide guarantees of any type, whether express or implicit, in particular regarding the integrity, accuracy, timeliness, non-violation, availability, reliability and the completeness of information present on the Website if these are provided by third parties, such as for example, product information or services offered on the Website and/or their suitability for the User’s particular intended use.

7. General Clauses

7.1. Amendments
PINALLI reserves the right to amend and update these General Conditions of Use at any time and without prior notice. Any amendments will be indicated by a notice on the Site. In the event that the User does not intend to accept the above-mentioned amendments he/she should immediately cease to access and use the Website. Continued access to and use of the Site following the introduction of amendments implies the tacit acceptance of the amendments by the User.

7.2. Validity of the Agreement
In the event that any provision of these GCU is declared invalid or ineffective due to a legislative amendment or following a ruling by judicial authorities, the remaining clauses of these GCU shall remain fully valid and effective.

7.3. Applicable law
These General Conditions of Use are governed by Italian Law.
For any dispute relating to the existence, interpretation and/or execution or suspension of these General Conditions of Use the competent court will be the court of Piacenza (Italy).
